These Terms of Service (“Terms”) govern your access to and use of the Vespere platform and website (the “Service”), provided by [Legal entity name] (“Vespere,” “we,” “us”). By using the Service, you agree to these Terms.
1. The Service
Vespere connects to third-party IT tools you authorize, reconciles device and tooling data, and presents prioritized findings together with informational guidance and optional, on-demand scripts.
2. Generate, never execute — your responsibility
Vespere generates guidance and scripts; it does not execute anything in your environment. Any script or recommendation is provided for your review. You are solely responsible for reviewing, testing, and deciding whether to run any script, and for the results of running it. You should review every script before use and test in a safe environment first. Guidance is informational and provided “as is.”
3. Accounts and eligibility
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must have authority to connect any third-party tool and to grant Vespere read access to the associated data. The Service is for business use by users 16 or older.
4. Acceptable use
- Do not use the Service unlawfully, or to access systems or data you are not authorized to access.
- Do not attempt to breach, probe, or circumvent the Service’s security or tenant isolation.
- Do not resell or provide access to the Service except as permitted for managing your own clients.
- Do not interfere with or disrupt the Service.
5. Third-party tools
The Service interoperates with third-party platforms you choose to connect. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, accuracy, or actions. You may disconnect a tool at any time.
6. Fees
Paid plans are billed in advance through our payment provider on the cycle shown at purchase. Fees are non-refundable except where required by law. We may change pricing on notice, effective at your next billing cycle.
7. Intellectual property
We retain all rights in the Service. You retain all rights in your data. You grant us the limited rights needed to operate the Service for you, as described in our Privacy Policy.
8. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that findings or guidance are complete or error-free, or that the Service will be uninterrupted. You remain responsible for your own systems and security decisions.
9. Limitation of liability
To the maximum extent permitted by law, Vespere will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising from your use of the Service or from running any script. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim.
10. Indemnification
You agree to indemnify and hold Vespere harmless from claims arising out of your use of the Service, your data, or your running of any script, except to the extent caused by our own gross negligence or willful misconduct.
11. Termination and data on cancellation
You may cancel at any time. We may suspend or terminate access for violation of these Terms. On cancellation, we delete or de-identify your account data and connected-tool credentials as described in the Privacy Policy.
12. Governing law
These Terms are governed by the laws of [State/Jurisdiction], without regard to conflict-of-laws rules. The courts located there will have exclusive jurisdiction, except where applicable law provides otherwise.
